Terms and Conditions

Love it or leave it. The Accelerator is a community of willing and enthusiastic participants. I’m not interested in contracts and/or chasing people for money. If you don’t love it, you’re welcome to leave at any time.
That said, I'm making that subject to a four-week minimum and you can't rejoin for 3 months. I don't want people just hopping in every week they have a question. That's not fair to anybody.
Much depends on you. This is not a full-service program where I do everything for you. Sorry, that would cost a lot more. I'm looking for those people who plan to work hard on their businesses and need expert direction to make sure they are going the right way.
Also important: running a successful business means putting in place a strong team of advisors and employees.
My value proposition? I'll help you get there, by being someone who helps you identify that team and the steps to stand up a profitable business with 15 employees.
I'm wrong sometimes. So are you, I bet.
All I can promise is my commercially reasonable efforts to serve the members of this program. I can't guarantee you a license. I can't even guarantee that everything I say will be correct, or the best advice possible for your situation.
What I can promise? To walk through this crazy industry with you, week by week.
I’m not acting as a lawyer. Why? Lawyer ethical rules don’t easily allow a group model like this. They are designed for 1:1, highly personalized services which therefore cost a lot. That 1:1 lawyer relationship also comes with heavy fiduciary duties that limit the lawyer in representing competitors without consent, for example. North Star Cannabis Consulting is not a law firm, and its Principal, Jen Randolph Reise, is acting as a consultant under this Agreement rather than as a practicing attorney. Therefore, communications with us won't come with attorney-client privilege and no attorney-client relationship is formed.
I’m trained as a lawyer, but in the Accelerator I’m using my skills in service of the group. So you should expect to be working alongside people who are technically competitors – but we know our real competitors are the well-funded MSOs.
Let’s talk Confidentiality. Confidentiality is another bedrock of the attorney-client relationship. Since I’m not acting as a lawyer, here’s how we’ll do it here instead: In the Accelerator, expect that our group meetings are *not* confidential. It’s as if you asked a question after I gave a talk at CannaClub or some such.
However, you can buy private, confidential time for your team to meet with me through Calendly. Those meetings are governed by the additional terms laid out below, under Additional Terms Applicable to Paid Meetings.
Change is likely. I already told you that the price is going to increase after the Founding Member slots are filled. I am working to make membership in the Accelerator extremely valuable.
I'm going to be looking for ways to make the Accelerator and its Members successful. Is it discounts or intelligence on certain issues? Investor-facing advantages? Press opportunities?
And we will be actively exploring what the members need and find value in. That means pivots in the services provided in the Accelerator, and it may end or be revamped at any time. I reserve the right to update these Terms and Conditions as we move forward, as well.
In other words, this is not a fixed service - we are co-creating this together.
Termination. As we said previously, you can choose to leave the Accelerator at any time after the 4-week minimum by cancelling your recurring payment. I also reserve the right to terminate the membership of participants who are not current on their payments or who I determine are not a good fit for the program, maybe because they have different needs or under my no-assholes policy.
Paid Meetings
Members of the Accelerator can buy confidential time with me through Calendly in 30-min or 60-min segments, at a reduced rate of $350/hour compared to my normal $500/hour rate.

Additional Terms Applicable to Paid Meetings
Confidentiality. Jen Randolph Reise (the “Consultant”) acknowledges that, during a Paid Meeting, the person(s) paying for the meeting (the “Company”) may disclose information to the Consultant (including information acquired from third parties which is subject to confidentiality obligations) and that Consultant may have access to information related to the Company’s products, services, customers and other business partners, personnel, business plans, and finances, as well as other proprietary or commercially valuable information which the Company does not make generally available to the public (collectively “Confidential Information”).
The Consultant agrees not to disclose, directly or indirectly, the Confidential Information to any third person or entity, other than representatives or agents of the Company. The term “Confidential Information” does not include information that (i) is or becomes generally available to the public other than by disclosure in violation of this Agreement, (ii) was within the Consultant’s possession prior to being furnished to the Consultant by the Company, as shown by written records, (iii) becomes available to the Consultant on a non-confidential basis without breach of any confidentiality obligation to the Company, or (iv) was independently developed by Consultant without reference to the information provided by the Company, as shown by written records. The Consultant may disclose any Confidential Information that is required to be disclosed by law, government regulation or court order; if such disclosure is required, the Consultant will give the Company advance notice so that the Company may seek a protective order or take other action reasonable in light of the circumstances.
